Tailsee License

This document (hereinafter referred to as "Agreement") constitutes a legally binding contract between you (hereinafter referred to as "You" or "Licensee") and Leon Liu, operating under the name Tailsee (hereinafter referred to as "Licensor"). Currently, Tailsee is operated by Leon Liu as an individual, supported by a team of five remote part-time contributors located across three countries. As the product evolves, we plan to establish a formal company, at which point the legal responsibilities outlined in this Agreement will be transferred to the company. This document will be updated accordingly to reflect the change in the responsible entity. This Agreement specifies the terms of use for the source code after you purchase Tailsee electronic products. By accessing or using the products provided by the Tailsee website, including but not limited to any downloadable files, HTML source code snippets, and Figma design assets provided upon purchase (collectively referred to as "Software"), you acknowledge that you have read, understood, and agreed to abide by all the terms and conditions outlined in this Agreement. If you do not agree with these terms, you must immediately cease using the Software.

1. License Grant

Subject to your strict compliance with the terms and conditions of this Agreement, Licensor grants you a non-exclusive, non-transferable, revocable license to use the Software.

2. Licensing Options

Licensor offers two licensing options to meet the needs of different users:

A. Standard License

Licensor grants the user a continuous, non-exclusive, non-transferable, revocable license to use Tailsee Pro components. This Standard License applies to an individual person (i.e., the Licensee) and allows them to access and use Tailsee Pro components.

Purpose and Scope:

This Standard License is designed for individual use, providing a versatile option suitable for various creators. It allows single-user access and is suitable for developing personal websites, creating web applications for clients, commercial software, or participating in open-source projects, offering the flexibility and tools needed to realize the user’s ideas.

Permitted Uses:

  • The user may create an unlimited number of End Products using the components.
  • The user may modify the components to create derivative components, which are also covered by this license.
  • The user may use the components for unlimited End Products for various clients.
  • The user may create End Products using the components and sell them to End Users.
  • The user may develop open-source End Products that are freely accessible to End Users.

Prohibited Uses:

  • The user may not create End Products that enable End Users to use the components or their derivatives to generate their own products.
  • The user may not redistribute the components or their derivatives outside of an End Product in any format.
  • The user may not share access to the components.
  • The user may not create content that, in the sole judgment of Leon Liu, operating under the name Tailsee, competes with or conflicts with the business of Tailsee. (As Tailsee evolves and transitions to a formal company, this document will be updated to reflect the change in legal responsibility.)

B. Team License

The Team License extends to up to ten (10) employees and contractors of the user’s organization, allowing them to access and use the downloadable files. If licensing is required for more team members beyond this limit, a separate licensing agreement or appropriate upgrade is required.

Purpose and Scope:

The permissions and restrictions granted by the Team License are the same as those under the Standard License, with the added benefit of accommodating larger teams within the specified limit. The same usage examples and prohibitions as outlined in the Standard License apply.

Compliance Requirements:

The user must ensure that their organization adheres to the specified team member limit. For licensing beyond ten team members, the user should contact Licensor for additional licensing options.

Additional Prohibitions:

Employees or contractors may not use the Team License for personal projects or create any End Products that do not solely belong to the user or their clients.

3. Permitted Actions

Subject to adherence to the relevant licensing agreement, you can utilize Tailsee Pro assets for a variety of digital creations and developments. Below are some expanded and reorganized project examples demonstrating how to flexibly use these resources:

Personal Website Development:You are free to create personal websites to showcase your personal brand, professional skills, or interests. This includes but is not limited to blogs, portfolios, e-commerce platforms, and more.

Responsive Website Templates:Use Tailsee Pro components to design and develop responsive website templates for various industries. These templates can be applied to e-commerce, personal portfolios, business presentations, or blogs.

Commercial SaaS Applications:You can develop commercial Software as a Service (SaaS) applications that require user payments, providing ongoing value and functionality.

Self-Hosted Web Applications:Develop commercial self-hosted web applications that can be sold to end users for a one-time fee, addressing specific needs.

Open-Source Applications: You may create open-source applications that promote technology sharing and innovation. The primary purpose of these applications should not be merely redistributing components but rather providing practical solutions and value.

Web Application Development:Develop custom web applications, including management dashboards, content management systems (CMS), or project management tools, to enhance user experience and management efficiency.

Landing Page Templates: Design eye-catching landing page templates for marketing purposes, attracting users and improving conversion rates.

Print Materials: Design promotional materials such as brochures, flyers, business cards, and posters for both personal and commercial use, showcasing your graphic design skills and creativity.

Client Websites and Web Applications: Develop websites or web applications for clients, ensuring that ownership belongs to the client and meeting their specific needs and business objectives.

Please ensure that the primary purpose of any application you build is not solely to redistribute components but to provide valuable services and functionality. Additionally, if your work is used for sale, such as on platforms like ThemeForest, proper attribution to Tailsee must be provided to comply with the licensing agreement.

4. Prohibited Actions

No Building Tools for Others: You may not use the downloaded files or their derivatives to create tools for others that enable end users to build their own projects using the downloaded files or derived content. This means you cannot use the downloaded files or their derivatives as infrastructure or a foundation for creating other projects.

No Standalone Distribution: The downloaded files and their derivatives must not be distributed as standalone items. They must always be part of a larger End Product to ensure their use complies with the licensing agreement.

No Unauthorized Ownership: You may not use the downloaded files to create End Products that are owned by anyone other than you or your clients. Ensure that ownership and control of all End Products remain within the scope allowed by the licensing agreement.

No Direct Competition: You must not create or offer any tools, software products, or services that may be considered direct competitors to Tailsee Pro, or that offer similar functionality, features, or services as Tailsee Pro. This includes, but is not limited to, creating alternative products or services that could impact Tailsee Pro’s market position.

No Products Allowing Users to Build Their Own: You may not use the components to develop End Products that enable End Users to use these components or their derivatives to build their own End Products. This restricts the reuse and redistribution of components to ensure their use complies with the licensing agreement.

No Standalone Redistribution of Components: You may not distribute the components or their derivatives as standalone items but must include them as part of an End Product. This helps protect the integrity of the components and ensures compliance with the licensing agreement.

No Use for Non-Licensee Products: You may not use the components for End Products that belong to anyone other than the Licensee or their clients. This ensures that the components are used only within the scope allowed by the licensing agreement.

No Unauthorized Access Granting: You may not grant access to the components to individuals who are not employed or contracted by the Licensee. This helps protect the proprietary nature of the components and ensures enforcement of the licensing agreement.

No Creation of Competitive Products: You may not use the components to create products that NextUI Inc. might view as competitive or conflicting with its business. This includes any products or services that could impact NextUI Inc.’s market position or commercial interests.

5. Enforcement and Liability

If a license violation occurs, Leon Liu, operating under the name Tailsee, reserves the right to revoke your access to the Tailsee Pro account. This may include, but is not limited to, unauthorized distribution or use of components.

The copyright for all components is owned by Leon Liu under Tailsee. You only receive the rights explicitly outlined in this license; all other rights are reserved. Leon Liu retains the right to take legal action for any use of the components that falls outside the scope permitted by this license.

Tailsee's liability to you for costs, damages, or other losses arising from your use of the components—including third-party claims against you—is limited to a refund of your license fee. Tailsee is not liable for any consequential damages related to your use of the components.

The licensor’s liability for costs, damages, or other losses arising from your use of the software, including third-party claims, is limited to a refund of your license fee. The licensor is not liable for any consequential damages related to your use of the software.

This Agreement constitutes the entire agreement between the parties and supersedes all prior or contemporaneous oral or written agreements and understandings. This means that this Agreement is the only legal document governing the use of the software, replacing any previous agreements or understandings.

Leon Liu reserves the right to take legal action against any violations of this license, including but not limited to unauthorized distribution, use, or modification of the components. The liability of the licensor is limited to refunding the license fee and does not extend to any indirect damages, loss of profits, or other forms of loss. This ensures that the liability of the licensor is clear and limited, avoiding additional responsibilities arising from the use of the software.

6. Miscellaneous

Any amendments or modifications to this Agreement must be posted by the licensor on this website. This means the licensor has the right to update the Agreement, and these updates will be published on the website to ensure users can access the latest information.

If any provision of this Agreement is deemed unenforceable, it does not affect the validity of the other provisions. The remaining provisions will continue to be effective and binding, ensuring the overall enforceability of the Agreement is not compromised.

Please note that this Agreement may be subject to changes. It is your responsibility to review the Agreement periodically to ensure you are always in compliance with the latest terms and conditions. This is not only your responsibility but also an important measure to protect both parties’ interests.

Your continued use of the software after changes to this Agreement, as well as any notifications provided, constitutes acceptance of those changes. This means you should proactively stay informed about and adapt to updates to the Agreement to avoid unnecessary disputes due to unfamiliarity with the latest terms.

Please note that the examples provided for the “Standard License” and “Team License” apply only to the Tailsee Pro package. Users should be aware of the scope of these licenses to avoid confusion. You can still choose to use the open-source, free version of the Tailsee Library, which allows unrestricted use, including but not limited to use, copy, modification, merge, publication, distribution, sublicensing, and/or selling copies of the software, as long as you follow the brand guidelines and trademark usage agreeme
